New Charter of the IDFI

On May 1, 2017, the new Charter of the Institute for Development of Freedom of Information (IDFI) officially entered into force. The Charter defines the new structure of the organization and its strategic directions.

 

The new Charter determines the Supervisory Board as the highest governing body of IDFI that is responsible for setting the general direction and development strategy of the Institute, electing the Executive Director and overseeing his/her work. Board Members are elected for a 4 year term, with a possibility to extend the term by 2 years.

 

The competence of the Supervisory Board includes:

 

- Making amendments and supplements to the Charter;

 

- Determining the main areas of activity of the Institute; approving its plans and performance reports;

 

- Electing the Executive Director of the Institute, and terminating his/her authority;

 

- Approving the Institute’s annual report;

 

- Developing and approving the Institute’s development strategy documents;

 

- Approving the Institute’s organizational budget;

 

- Creating branches and offices (appointing their heads), carrying out their reorganizations and liquidation, and approving their statutes and reports;

 

- Making decisions on the termination of the Institute’s activities (liquidation or reorganization), etc.

 

The Supervisory Board is composed of at least 5 and not more than 11 members, one of which is the Chairperson of the Supervisory Board. The current composition of the Board is:  Zviad Koridze (Chairperson), Nino Dolidze, Oliver Raisner, Lela Gaprindashvili, Timothy Blauvelt, Elene Medzmariashvili and David Losaberidze.

 

According to the new charter, the Executive Director oversees the daily operation of the Institute. In the absence of the Executive Director, the Deputy Executive Director acts to fulfill the duties. The Executive Director is appointed by the Supervisory Board of a 5-year term that may be extended by only 2 years. The Supervisory Board has elected Giorgi Kldiashvili as the Executive Director of IDFI for the next 5 years.
